Please read these terms carefully before using Transition

1. Acceptance of Terms

By accessing or using the Transition app ("Service"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services. These Terms constitute a legally binding agreement between you and Transition.

1a. Definitions

  • Coach: Any individual or entity that offers training, programming, advice, or related services to users through the Service, including via any web dashboard, messaging, or integrations (collectively, "Coaching Services").
  • Athlete: Any user who receives or accesses Coaching Services or workout content via the Service.
  • Coach Content: Workouts, training plans, messages, files, videos, links, notes, and any other materials provided by a Coach.
  • AI Content: Any workouts, plans, messages, or outputs generated by our AI features or third-party AI providers.
  • Platform: The Service provided by Transition, including mobile and web applications, APIs, and integrations.
  • Club: Any organized group or entity (for example, a triathlon club, running club, or cycling team) that may host or promote group training sessions or events. Clubs are independent third parties and are not affiliated with or controlled by Transition.
  • Club-Sponsored or Group Workout: Any in-person or hybrid training session, meetup, or activity hosted, organized, promoted, or entered on the Platform by a Coach or Club and attended by one or more Athletes.
  • Sponsor: Any organization or individual that provides benefits, payments, or consideration to an Athlete (for example, a team, brand, or club sponsor). Sponsors are independent third parties and are not affiliated with or controlled by Transition.
  • Sponsor Benefits: Any payments, products, services, or other consideration provided by a Sponsor to an Athlete.
  • Additional Terms: Any rules, guidelines, or terms applicable to specific features, promotions, or services that supplement these Terms.
  • Mobile App Store Terms: Additional terms imposed by Apple App Store or Google Play that govern distribution and use of the mobile apps.
  • Ancillary Guidance: Any non-prescriptive guidance related to workouts, including workout justification/rationale, nutrition and hydration suggestions, warm-up and stretching or mobility routines, recovery tips and strategies, and general workout feedback. Ancillary Guidance may be provided by AI features or by Coaches and is for informational and educational purposes only.

2. Medical and Health Disclaimer

IMPORTANT: The information, workouts, training plans, and recommendations provided by Transition are for informational and educational purposes only and are not intended as medical advice, diagnosis, or treatment.

You should consult with a qualified healthcare professional before beginning any exercise program, especially if you have any pre-existing medical conditions, injuries, or concerns about your health. The workouts and training plans generated by our AI are general recommendations and may not be suitable for your individual health status, fitness level, or medical condition.

By using Transition, you acknowledge that:

  • You participate in physical exercise at your own risk
  • You are physically and mentally capable of participating in the recommended activities
  • You will stop exercising immediately if you experience any pain, discomfort, or other symptoms
  • You understand that individual results may vary
  • We are not responsible for any injuries, health issues, or adverse effects that may result from following our recommendations

3. AI-Generated Content and Third-Party AI Services

IMPORTANT: Transition uses artificial intelligence, including third-party AI services such as OpenAI (ChatGPT and other models), to generate workout plans, training recommendations, and coaching advice. By using our AI coach features, you explicitly agree to the following:

  • Third-Party Processing: Your personal data, including workout history, preferences, nutrition information, performance metrics, and other training-related data, will be sent to and processed by OpenAI's services to generate personalized recommendations
  • AI Limitations: AI-generated content may contain errors, inaccuracies, inconsistencies, or recommendations that may not be suitable for your specific health status, fitness level, or individual circumstances
  • No Medical Advice: AI-generated coaching advice is not medical advice and should never replace consultation with qualified healthcare professionals, certified trainers, or sports medicine specialists
  • User Responsibility: You are solely responsible for evaluating the appropriateness of any AI-generated recommendations before following them
  • Assumption of Risk: You assume all risks associated with following AI-generated training plans, workout recommendations, or coaching advice

DISCLAIMER: WE MAKE NO WARRANTIES ABOUT THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF ANY AI-GENERATED CONTENT. USE OF AI-GENERATED RECOMMENDATIONS IS ENTIRELY AT YOUR OWN RISK.

4. Age Restrictions and Parental Consent

You must be at least 18 years old to use Transition. If you are under 18, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

4a. Children's Privacy and Consent (COPPA-Like Flow)

We do not knowingly permit users under the age required by applicable law to use the Service without verifiable parental consent. If we learn that a user is under the applicable age and we do not have verifiable parental consent, we will take steps to obtain consent or delete the account and associated data. If consent is not obtained within a reasonable time (for example, 72 hours from our request), we may delete the account and any information provided.

5. Use of Service

Transition is an AI-powered triathlon training app. You may use our services for personal, non-commercial purposes only. You are responsible for maintaining the confidentiality of your account and password. You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Reverse engineer, decompile, or attempt to extract source code
  • Share your account credentials with others
  • Use the Service to harm, harass, or impersonate others
  • Upload malicious code or attempt to disrupt the Service

5a. License Grant and Prohibited Uses

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own athletic training and related purposes. This license does not include any right to sublicense, distribute, publicly display, or create derivative works from the Service or its content.

You agree not to: (a) copy, modify, or create derivative works of the Service; (b) scrape, crawl, spider, or use automated means or bots to access the Service; (c) bypass, disable, or circumvent security or access controls; (d) probe, scan, or test the vulnerability of any system or network; (e) use any third-party tools or services to extract, index, download, or otherwise harvest data from the Service except as expressly permitted; (f) rent, lease, sell, or otherwise commercialize access to the Service; (g) use the Service to collect information about others in violation of law; or (h) use the Service in any manner not expressly permitted by these Terms.

5b. Additional Terms

Certain features or offerings may be subject to Additional Terms. If there is a conflict between these Terms and any Additional Terms, the Additional Terms will govern with respect to the specific feature or offering.

5c. Account Requirements and Data Quality

  • You agree to provide accurate, current, and complete information.
  • You will promptly update information to keep it accurate and complete.
  • You will not create an account for someone else without authorization.
  • You will not misrepresent your identity, age, or qualifications.
  • You are responsible for any activity that occurs under your account.

5d. Restrictions on Third-Party Services and Tools

You may not use third-party tools, scripts, extensions, or services that interact with the Service in ways that violate these Terms, circumvent technical controls, degrade performance, or compromise security. You are responsible for complying with the terms of any third-party services you connect to the Service.

6. User Content and Data

You retain all rights to any content you submit, post, or display on or through Transition. By providing content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute such content in connection with the service. You represent that you have all necessary rights to grant this license. This includes, without limitation, Coach Content provided by human Coaches through the Platform.

7. Workout Data Usage and Analytics

By using Transition, you grant us a perpetual, worldwide, royalty-free, non-exclusive license to collect, use, analyze, and process your workout data, training metrics, performance statistics, and related information for the following purposes:

  • Service Improvement: Analyzing usage patterns and performance data to enhance our algorithms, features, and user experience
  • AI Training and Development: Using your data to train, improve, and refine our artificial intelligence models and recommendation systems
  • Third-Party AI Processing: Sending your data to third-party AI services (including OpenAI) for processing, analysis, and generating personalized recommendations
  • Analytics and Tracking: Sharing workout data, performance metrics, error logs, and usage patterns with analytics services (including Mixpanel, Sentry) to understand user behavior, monitor app performance, and improve our services
  • Cloud Logging and Monitoring: Sending application logs, error reports, and system data to Google Cloud Platform for service monitoring and debugging
  • Mobile Platform Diagnostics: Apple (iOS) and Google (Android) automatically receive crash reports and diagnostic data when app errors occur
  • Fitness Platform Integration: Sharing workout data with connected fitness platforms (Garmin, Apple Health, Strava, etc.) when you enable sync features or manually post workouts
  • Analytics and Research: Conducting statistical analysis, research studies, and generating insights about training effectiveness and user behavior
  • Product Development: Developing new features, training programs, and services based on aggregate user data and trends
  • Performance Benchmarking: Creating anonymized benchmarks, comparisons, and population-level insights for the triathlon and fitness community
  • Quality Assurance: Monitoring service performance, identifying issues, and ensuring optimal functionality

We may aggregate and anonymize your data for research, marketing, and business purposes. Anonymized and aggregated data may be shared with research partners, academic institutions, or third parties for legitimate research and development purposes. Individual personally identifiable information will only be shared as outlined in our Privacy Policy.

You acknowledge that your continued use of the Service constitutes ongoing consent to these data usage practices, and that this data usage is essential to providing and improving our AI-powered training recommendations.

7a. Third-Party AI Services Agreement and Liability

EXPLICIT CONSENT TO THIRD-PARTY AI PROCESSING: By using Transition's AI coach features, you explicitly consent to and agree that:

  • Your personal data, workout information, health metrics, preferences, and all related information will be transmitted to and processed by OpenAI and other third-party AI service providers
  • This data transmission is necessary for the AI coach functionality and personalized recommendations
  • Third-party AI services operate under their own terms of service and privacy policies, over which we have no control
  • We cannot guarantee the security, accuracy, or appropriateness of third-party AI processing or responses
  • You assume all risks associated with third-party AI data processing and the recommendations generated

LIMITATION OF LIABILITY FOR THIRD-PARTY AI SERVICES: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU ACKNOWLEDGE AND AGREE THAT:

  • WE ARE NOT RESPONSIBLE FOR THE ACTIONS, OMISSIONS, ERRORS, OR FAILURES OF THIRD-PARTY AI SERVICES
  • WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR SAFETY OF THIRD-PARTY AI-GENERATED CONTENT
  • ANY HARM, INJURY, OR DAMAGE RESULTING FROM FOLLOWING AI-GENERATED RECOMMENDATIONS IS SOLELY YOUR RESPONSIBILITY
  • WE DISCLAIM ALL LIABILITY FOR DATA BREACHES, PRIVACY VIOLATIONS, OR MISUSE OF YOUR DATA BY THIRD-PARTY AI SERVICES
  • YOUR SOLE RECOURSE FOR THIRD-PARTY AI SERVICE ISSUES IS DIRECTLY WITH THOSE SERVICE PROVIDERS

INDEMNIFICATION: You agree to indemnify and hold harmless Transition from any claims, damages, or losses arising from or related to third-party AI service processing of your data or your use of AI-generated recommendations.

8. Data Accuracy

While we strive to provide accurate information, we make no warranties about the accuracy, completeness, or reliability of any data, metrics, or analytics provided by the Service. You should not rely solely on this information for making health or fitness decisions.

8a. Availability and Support

We strive to keep the Service available and reliable, but outages, maintenance, and third-party interruptions may occur. We do not guarantee any particular availability level or response time. Support is provided on a commercially reasonable basis and may be limited.

9. Subscription and Payment Terms

Transition may offer both free and paid subscription plans. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance and are non-refundable except as required by law.

9a. Trial Access

We may offer free trials or promotional access. Trials may be limited in scope or duration and may be changed or discontinued at any time. At the end of a trial, your subscription may automatically convert to a paid plan unless you cancel.

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.

We reserve the right to change our pricing at any time. Price changes will be communicated to you in advance and will take effect at your next billing cycle. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

10. Data Retention and User Rights

We retain your personal data and workout information for as long as your account is active or as needed to provide services. You may request deletion of your personal data by contacting us, subject to legal retention requirements.

Upon account deletion, we will delete or anonymize your personal information within 30 days, though we may retain anonymized, aggregated data indefinitely for research and service improvement purposes. Some data may be retained longer if required by law or for legitimate business purposes such as fraud prevention.

You have the right to request a copy of your personal data and workout information. Contact us to request data export in a commonly used format.

11. Wearable Devices and Third-Party Integrations

Transition may integrate with fitness wearables, heart rate monitors, power meters, and other third-party devices and services (collectively, "Connected Devices"). You are responsible for:

  • Ensuring your "Connected Devices" are properly configured and calibrated
  • Understanding the limitations and accuracy of your "Connected Devices"
  • Complying with the terms of service of "Connected Device" manufacturers
  • Any costs associated with "Connected Devices" and their data plans

We are not responsible for the accuracy, availability, or functionality of "Connected Devices", and any data discrepancies or device malfunctions are not our responsibility. Integration with "Connected Devices" may be discontinued at any time.

11a. Smart Trainers and Indoor Training Equipment

IMPORTANT SAFETY NOTICE: Transition integrates with smart trainers, indoor cycling equipment, and other Bluetooth-enabled training devices ("Smart Training Equipment"). By using these integrations, you acknowledge and agree to the following:

Equipment Responsibility and Safety

  • Proper Setup: You are solely responsible for the proper installation, setup, calibration, and maintenance of all Smart Training Equipment
  • Safety Inspection: You must inspect equipment before each use and ensure it is in safe working condition
  • Manufacturer Guidelines: You must follow all manufacturer instructions, safety guidelines, and weight/usage limitations
  • Environmental Safety: You are responsible for ensuring adequate ventilation, proper flooring, and a safe training environment
  • Emergency Procedures: You must know how to immediately stop or disconnect equipment in case of emergency

Technical Integration and Connectivity

  • Bluetooth/Connectivity Issues: We are not responsible for connectivity failures, signal interference, or technical malfunctions during workouts
  • Resistance Control: Smart trainers may automatically adjust resistance based on workout data - you assume all risks associated with resistance changes
  • Data Accuracy: Power, speed, and resistance readings may be inaccurate due to calibration, connectivity, or equipment issues
  • Workout Interruption: Technical failures may cause workout interruptions or unexpected equipment behavior

Health and Safety Warnings

  • High-Intensity Risk: Smart trainer workouts can create extremely high resistance and power demands that may exceed your fitness level
  • Overexertion: Automated resistance control may push you beyond safe limits - you must monitor your own exertion and stop if necessary
  • Medical Clearance: Indoor training can be particularly intense - ensure you have medical clearance for high-intensity exercise
  • Hydration and Heat: Indoor training generates significant heat - maintain proper hydration and ventilation

Equipment Malfunction and Liability

DISCLAIMER OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW:

  • WE ARE NOT RESPONSIBLE FOR ANY INJURIES, DAMAGES, OR LOSSES RESULTING FROM SMART TRAINING EQUIPMENT USE
  • WE DISCLAIM ALL LIABILITY FOR EQUIPMENT MALFUNCTIONS, CONNECTIVITY FAILURES, OR TECHNICAL ISSUES
  • YOU ASSUME ALL RISKS ASSOCIATED WITH INDOOR TRAINING AND SMART TRAINER INTEGRATION
  • WE MAKE NO WARRANTIES ABOUT THE SAFETY, RELIABILITY, OR FUNCTIONALITY OF THIRD-PARTY TRAINING EQUIPMENT
  • EQUIPMENT MANUFACTURERS ARE SOLELY RESPONSIBLE FOR THEIR PRODUCTS' SAFETY AND PERFORMANCE

User Responsibilities

You agree that you are solely responsible for:

  • Purchasing, maintaining, and safely operating all Smart Training Equipment
  • Ensuring equipment compatibility and proper Bluetooth connectivity
  • Monitoring your physical condition and stopping exercise if you experience distress
  • Following all manufacturer safety guidelines and usage limitations
  • Maintaining adequate insurance coverage for equipment and potential injuries
  • Any property damage or personal injury resulting from equipment use

ACKNOWLEDGMENT: By using Smart Training Equipment with Transition, you acknowledge that you have read and understood these warnings, assume all associated risks, and agree to hold Transition harmless from any equipment-related claims or damages.

11b. Workout Export and External Device Execution

IMPORTANT DISCLAIMER: Transition allows you to export workout files and training plans to external devices including Garmin watches, Apple Watches, bike computers, and other fitness devices ("External Devices"). By using this export functionality, you acknowledge and agree to the following:

Export Data Accuracy and Interpretation

  • Data Translation: Exported workout data may be interpreted differently by External Devices than intended by Transition
  • Format Limitations: Different devices support different data formats and may not accurately represent all workout parameters
  • Intensity Scaling: Power zones, heart rate zones, and intensity targets may not translate correctly across devices
  • Workout Structure: Complex workout structures may be simplified or altered during the export process
  • Data Corruption: Export files may become corrupted or contain errors during transfer or device import

External Device Execution Risks

  • Device Limitations: External Devices may have different capabilities, safety features, or limitations than Transition
  • Inappropriate Intensity: Devices may execute workouts at inappropriate intensities based on incorrect zone calculations or data interpretation
  • No Real-Time Monitoring: Once exported, we cannot monitor or adjust workout execution on External Devices
  • Device Malfunctions: External Devices may malfunction, provide incorrect guidance, or fail during workout execution
  • Environmental Factors: External Devices may not account for weather, terrain, or other environmental factors affecting workout safety

User Responsibilities for Exported Workouts

  • Pre-Workout Review: You must review exported workouts on the target device before execution to ensure they are appropriate and safe
  • Intensity Verification: You are responsible for verifying that power zones, heart rate zones, and intensity targets are correctly configured on your External Device
  • Device Familiarity: You must be familiar with your External Device's operation, safety features, and emergency procedures
  • Workout Modification: You are responsible for modifying or stopping workouts if they become unsafe or inappropriate during execution
  • Environmental Assessment: You must assess environmental conditions and modify or cancel workouts as necessary for safety

Liability Disclaimers for External Device Use

  • WE ARE NOT RESPONSIBLE FOR HOW EXTERNAL DEVICES INTERPRET, EXECUTE, OR DISPLAY EXPORTED WORKOUT DATA
  • WE DISCLAIM ALL LIABILITY FOR INJURIES, DAMAGES, OR LOSSES RESULTING FROM WORKOUTS EXECUTED ON EXTERNAL DEVICES
  • WE MAKE NO WARRANTIES ABOUT THE ACCURACY, SAFETY, OR SUITABILITY OF EXPORTED WORKOUT FILES
  • YOU ASSUME ALL RISKS ASSOCIATED WITH EXPORTED WORKOUT EXECUTION ON ANY EXTERNAL DEVICE
  • EXTERNAL DEVICE MANUFACTURERS ARE SOLELY RESPONSIBLE FOR THEIR DEVICES' SAFETY, FUNCTIONALITY, AND WORKOUT EXECUTION
  • WE ARE NOT LIABLE FOR DEVICE MALFUNCTIONS, DATA CORRUPTION, OR TECHNICAL FAILURES DURING EXPORTED WORKOUT EXECUTION

Specific Device Considerations

  • Garmin Devices: Workout execution subject to Garmin's algorithms, zone calculations, and device limitations
  • Apple Watch: Workout interpretation subject to Apple's fitness algorithms and watchOS capabilities
  • Bike Computers: Power and cadence targets may vary based on device calibration and sensor accuracy
  • Third-Party Apps: Exported data processed through third-party applications is subject to their terms and limitations

FINAL ACKNOWLEDGMENT: By exporting workouts from Transition, you acknowledge that once exported, the workout execution is entirely under the control of your External Device and you assume complete responsibility and liability for the workout execution, any resulting injuries, and any device-related issues.

12. Beta Features and Experimental Content

Transition may offer beta, experimental, or preview features that are not fully tested or may contain bugs. These features are provided "as is" with additional disclaimers of warranties and limitations of liability. You understand that beta features may not work as expected and could potentially cause data loss or other issues.

We may discontinue beta features at any time without notice. Your feedback on beta features may be used to improve our services without compensation to you.

13. Geographic Restrictions and Availability

Transition is intended for use by individuals located in countries where our services are legally available. We make no representation that the Service is appropriate or available for use in all locations. Access to Transition may be restricted in certain countries or jurisdictions.

You are responsible for complying with local laws and regulations in your jurisdiction. If you access Transition from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

14. Account Inactivity and Suspension

We may suspend or deactivate accounts that have been inactive for extended periods (typically 12 months or more). Before permanent deletion, we will attempt to notify you via your registered email address.

We may also temporarily suspend your account for violations of these Terms, pending investigation or resolution. During suspension, you may not access certain features but your data will be preserved.

15. Software Updates and Compatibility

We may release updates, patches, or new versions of Transition from time to time. Some updates may be required for continued service access. You are responsible for maintaining compatible devices and operating systems.

15a. Mobile App Store Terms

If you download our mobile app from the Apple App Store or Google Play, you agree to comply with their applicable terms. Without limiting the foregoing, you acknowledge that: (a) these Terms are between you and Transition only; (b) Apple and Google are not responsible for the app or its content; (c) Apple and Google have no obligation to furnish any maintenance or support; (d) to the maximum extent permitted by law, Apple and Google disclaim all warranties with respect to the app; and (e) Apple and Google are third-party beneficiaries of this section and may enforce it.

We may discontinue support for older versions of our app or certain devices. We will provide reasonable notice when support for specific platforms will be discontinued.

16. Privacy Regulations Compliance

We are committed to complying with applicable privacy regulations including GDPR, CCPA, and other regional privacy laws. Our Privacy Policy contains detailed information about your privacy rights under these regulations.

If you are located in the European Union, you have additional rights under GDPR including data portability, rectification, and erasure. Contact us to exercise these rights.

17. Training Advice and Coaching Limitations

Transition provides automated training recommendations and is not a substitute for personalized coaching from qualified professionals. Our AI-generated training plans are based on general principles and population data, not your individual physiology or specific circumstances.

You should consider consulting with certified trainers, coaches, or sports scientists for personalized advice, especially if you have specific performance goals, time constraints, or physical limitations. We do not provide medical clearance for participation in sports or exercise.

17a. Human Coaching Services and Coach Marketplace

The Platform may enable Athletes to connect with Coaches who can create, modify, or deliver workouts and training plans, communicate with Athletes, and provide Coaching Services. Coaches are independent contractors and are not employees, agents, joint venturers, or partners of Transition. We do not supervise, direct, or control Coaches, and we are not responsible for the quality, safety, legality, effectiveness, or suitability of any Coaching Services or Coach Content.

Independent Contractors; No Agency

  • Coaches act in their own capacity and provide Coaching Services directly to Athletes. No employment, joint venture, or agency relationship is created by your use of the Platform.
  • Any agreements, expectations, or promises between a Coach and an Athlete are solely between those parties. Transition is not a party to, and has no obligations under, such agreements.

Coach Qualifications and Compliance

  • We do not guarantee that Coaches hold any particular certifications, licenses, insurance, or qualifications. You are responsible for evaluating a Coach’s suitability for your needs.
  • Coaches are solely responsible for complying with all applicable laws, regulations, and industry standards (including, where applicable, those governing health and fitness services and working with minors).

No Medical or Professional Advice

Coaching Services and Coach Content are for informational and educational purposes only and do not constitute medical, nutritional, or professional advice. Athletes must use their own judgment, consult appropriate professionals as needed, and stop any activity that causes pain, discomfort, or adverse symptoms.

Communications, Scheduling, and Sessions

  • The Platform may facilitate messaging and scheduling but does not guarantee delivery times, availability, or successful connection for remote or in-person sessions.
  • In-person sessions involve inherent risks, including risk of injury or property damage. You assume all risks associated with attending, participating in, or facilitating any session arranged through the Platform.

Payments, Fees, and Refunds

  • Payments processed through the Platform or third-party payment providers are subject to those providers’ terms. We may charge platform or service fees.
  • Except where required by law, all payments are non-refundable. Disputes, chargebacks, or refunds related to Coaching Services are between the Coach and Athlete; we may, but are not obligated to, assist in dispute resolution.

Coach Content and Ownership

  • As between Transition and a Coach, the Coach retains rights in Coach Content, subject to the license granted to Transition under Section 6 to host, use, reproduce, and display such content in connection with the Platform.
  • We may remove, disable, or restrict access to Coach Content that we believe violates these Terms or applicable law.

Assumption of Risk; Release

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU ACKNOWLEDGE AND AGREE THAT YOUR INTERACTIONS WITH COACHES, RELIANCE ON COACH CONTENT, AND PARTICIPATION IN ANY COACHING SERVICES (WHETHER REMOTE OR IN-PERSON) ARE AT YOUR SOLE RISK. YOU HEREBY RELEASE AND HOLD HARMLESS TRANSITION, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND, TO THE EXTENT THEY USE THE PLATFORM, COACHES, FROM AND AGAINST ANY AND ALL CLAIMS, INJURIES, DAMAGES, LOSSES, OR EXPENSES ARISING OUT OF OR RELATED TO COACHING SERVICES, COACH CONTENT, OR YOUR INTERACTIONS WITH COACHES.

Disputes Between Users and Coaches

We are not a party to disputes between Athletes and Coaches. We may, but are not obligated to, assist with disputes at our sole discretion. Any assistance we provide does not create any duty, warranty, or ongoing obligation.

17b. Club-Sponsored and Group Workouts

Coaches and Clubs may create, promote, or host Club-Sponsored or Group Workouts through the Platform. Transition does not organize, supervise, direct, or control these activities and does not provide the locations, equipment, permits, or supervision for them. Clubs and Coaches are independent third parties, and any Club-Sponsored or Group Workout is conducted under their sole control and responsibility.

17c. Ancillary Guidance: Nutrition, Warm-Ups, Recovery, Justification, and Feedback

The Platform may provide Ancillary Guidance through AI features or Coaches. All such guidance is general, informational, and educational; it is not medical, nutritional, therapeutic, or professional advice and may not be appropriate for your individual needs. You are solely responsible for evaluating and applying any Ancillary Guidance and for consulting appropriate professionals when needed.

17d. Sponsors and Sponsor Benefits

Sponsors may provide Sponsor Benefits to Athletes. Sponsors are independent third parties. We are not responsible for Sponsor Benefits, sponsor eligibility, or any obligations between you and a Sponsor. Any arrangement, payment, or benefit is solely between you and the Sponsor.

Nutrition and Hydration

  • Nutrition and hydration suggestions are not individualized dietary advice and may not account for allergies, intolerances, medical conditions, or medication interactions. Verify ingredients and suitability for your personal health.
  • Supplement use entails risks and may be subject to anti-doping or sport rules. You are responsible for compliance with applicable rules and for consulting a qualified professional before using any supplement.

Warm-Ups, Stretching, Mobility, and Drills

  • Warm-up, stretching, mobility, and drill recommendations carry inherent risk of injury if performed incorrectly or beyond your capabilities. Modify or stop any activity that causes pain, discomfort, or adverse symptoms.
  • You are responsible for using appropriate space, equipment, and technique, and for seeking professional instruction when needed.

Recovery and Fatigue Management

  • Recovery tips (including sleep, rest days, massage, compression, and similar modalities) are general suggestions and may not be suitable for all users. Monitor your condition, and consult a qualified professional as needed.
  • If you experience persistent pain, illness, or unusual symptoms, discontinue activity and seek medical advice.

Workout Justification and General Feedback

  • Explanations of workout rationale and performance feedback are estimates and may rely on incomplete data. They are not guarantees of results or performance.
  • You remain responsible for pacing, intensity, environment, and personal safety decisions during any workout.

Assumption of Risk; No Warranties

YOU ACKNOWLEDGE THAT YOUR USE OF ANY ANCILLARY GUIDANCE IS AT YOUR SOLE RISK AND THAT ANCILLARY GUIDANCE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

Organizer Responsibilities and Compliance

  • Clubs and Coaches are solely responsible for obtaining and complying with any required permits, venue rules, insurance, and applicable laws, regulations, and safety standards for the activities they organize.
  • Athletes are responsible for determining whether a Club-Sponsored or Group Workout is appropriate for their fitness level and for bringing and using appropriate equipment and safety gear (for example, helmets, lights, reflective apparel).

Third-Party Venues and Waivers

  • Workouts may occur at third-party venues, facilities, roads, trails, pools, or other locations not owned or controlled by Transition. Venue owners and operators are solely responsible for their facilities.
  • You may be required to execute additional waivers or releases imposed by Clubs, venues, or organizers. Transition is not a party to, and has no obligations under, such waivers.

Assumption of Risk; Outdoor and Group Hazards

Participation in Club-Sponsored or Group Workouts involves inherent risks, including but not limited to collision, falls, traffic, weather, wildlife, road/trail conditions, equipment failure, dehydration, and actions of other participants. BY PARTICIPATING, YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH THESE ACTIVITIES, INCLUDING TRAVEL TO AND FROM THE WORKOUT LOCATION.

Release

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE AND HOLD HARMLESS TRANSITION, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS FROM ANY AND ALL CLAIMS, INJURIES, DAMAGES, LOSSES, OR EXPENSES ARISING OUT OF OR RELATED TO ANY CLUB-SPONSORED OR GROUP WORKOUT, INCLUDING ACTIVITIES HOSTED OR PROMOTED BY A COACH OR CLUB, OCCURRING AT ANY THIRD-PARTY VENUE OR LOCATION.

18. Competitive Events and Race Integration

If Transition integrates with race events, competitions, or third-party race platforms, your participation is subject to those events' specific terms and conditions. We are not responsible for race cancellations, changes, or disputes with event organizers.

Performance predictions or race time estimates provided by Transition are for informational purposes only and should not be relied upon for race strategy or pacing decisions.

19. Third-Party Integrations

Transition integrates with various third-party services and devices, including but not limited to:

  • AI Services: OpenAI (ChatGPT and other models) for AI coaching, training plan generation, and personalized recommendations
  • Fitness Platforms: Strava, Garmin Connect, TrainingPeaks, and other fitness tracking services
  • Wearable Devices: Heart rate monitors, power meters, GPS watches, and smart trainers
  • Payment Processors: Stripe, PayPal, and other payment services
  • Analytics Services: Mixpanel for usage tracking, Sentry for error monitoring, Google Cloud Platform for logging and system monitoring
  • Mobile Platform Services: Apple App Store and Google Play Store for crash reporting and app diagnostics

IMPORTANT DISCLAIMERS: We are not responsible for the accuracy, availability, functionality, security, or privacy practices of third-party services. Your use of such services is subject to their respective terms and conditions. For OpenAI services specifically, you acknowledge that:

  • Your data will be processed according to OpenAI's Terms of Use and Privacy Policy
  • We have no control over OpenAI's data handling, security measures, or service availability
  • OpenAI's terms and policies may change independently of our terms
  • You should review OpenAI's current terms before using AI coach features

The Service may contain links to third-party websites or resources. We are not responsible for the content, products, or services on or available from those websites or resources. Links are provided for convenience only and do not imply endorsement.

Your privacy is important to us. Please refer to our Privacy Policy to understand how we collect, use, and disclose information about you.

20a. Electronic Communications; Marketing; Notices

  • By creating an account, you agree we may send you transactional communications related to your account and the Service.
  • We may also send marketing communications with your consent where required by law. You can opt out of marketing at any time using unsubscribe links or in-app settings.
  • We may provide notices via email, in-app messaging, push notifications, or by posting on the Service. Notices are effective when sent or posted.

21. Intellectual Property

The Service and its original content, features, and functionality are owned by Transition and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Service without our express written permission.

If you submit ideas, suggestions, or proposals regarding the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, sublicensable, transferable, royalty-free license to use, copy, modify, create derivative works based upon, distribute, publicly display, and otherwise exploit the Feedback for any purpose, without restriction and without compensation to you.

21b. Copyright Complaints (DMCA)

If you believe content on the Service infringes your copyright, please send a notice that includes: (a) your signature; (b) identification of the copyrighted work; (c) identification of the material claimed to be infringing and its location; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement under penalty of perjury that the information is accurate and that you are authorized to act. 22. Termination

We reserve the right to terminate or suspend your account and access to Transition at our sole discretion, immediately and without notice, for conduct that we believe violates these Terms of Service, is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Service will cease immediately.

23. Changes to Terms

We may revise these Terms of Service at any time by posting the revised terms on the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms of Service. We recommend checking this page periodically for updates.

24. AI-Specific Liability Limitations

  • AI SYSTEMS MAY PRODUCE INACCURATE, INAPPROPRIATE, OR POTENTIALLY HARMFUL RECOMMENDATIONS
  • YOU AGREE TO USE YOUR OWN JUDGMENT AND CONSULT PROFESSIONALS BEFORE FOLLOWING AI RECOMMENDATIONS
  • WE ARE NOT LIABLE FOR ANY CONSEQUENCES OF THIRD-PARTY AI SERVICE FAILURES, ERRORS, OR DATA BREACHES
  • YOUR USE OF AI FEATURES IS ENTIRELY AT YOUR OWN RISK AND RESPONSIBILITY

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

26. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRANSITION AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND, TO THE EXTENT THEY USE THE PLATFORM IN THEIR CAPACITY AS COACHES, COACHES, SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE (INCLUDING ANY COACHING SERVICES, COACH CONTENT, ANCILLARY GUIDANCE, CLUB-SPONSORED OR GROUP WORKOUTS, OR ACTIVITIES AT THIRD-PARTY VENUES OR LOCATIONS), WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

26a. Notice of Claims; Time Limit to Bring Claims

You agree to notify us in writing of any claim against us within a reasonable time after it arises. Any claim you may have must be brought within one (1) year after the claim arises, or be forever barred, to the maximum extent permitted by law.

27. Indemnification

You agree to defend, indemnify, and hold harmless Transition and its affiliates, officers, directors, employees, agents, licensors, and, to the extent they use the Platform in their capacity as Coaches, Coaches, from and against all claims, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service (including any Coaching Services); (b) your violation of these Terms; (c) your violation of any rights of another; (d) any injury or damage resulting from your participation in activities recommended by the Service; (e) any claims related to AI Content, third-party AI service usage, or data processing by OpenAI or other AI service providers; (f) your reliance on any Ancillary Guidance; (g) your interactions, agreements, or disputes with any Coach or Club; (h) your participation in any Club-Sponsored or Group Workout (including travel to and from the activity); (i) your participation in any in-person or remote session arranged through the Platform; and (j) your use of any third-party venue, equipment, or device in connection with Coaching Services or group activities.

28. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

29. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

30. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you consent to the jurisdiction of such courts.

30a. Dispute Resolution; Arbitration; Class Action and Jury Waivers

  • Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.
  • You and Transition waive any right to a jury trial and to participate in a class action or class-wide arbitration. Disputes will be conducted solely on an individual basis.
  • If a court finds that this section is unenforceable as to a particular claim or request for relief, then that claim or request will proceed in court, but the remainder will be enforced to the fullest extent permitted.

31. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Transition regarding the use of the Service and supersede all prior and contemporaneous written or oral agreements.

31a. Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.

31b. Notices

We may provide notices to you via email, in-app messages, or by posting on the Service. You must send legal notices to us using the contact information in Section 32.

31c. Survival

Any provisions that by their nature should survive termination of these Terms will survive, including but not limited to ownership provisions, disclaimers, and limitations of liability.
